In this podcast, CII Director of Research Glenn Davis explains how shareholder meetings conducted entirely online short-change investors—and what CII is doing to persuade companies to use technology to enhance, rather than restrict, shareholder participation. Virtual-only meetings deprive shareholders of the one opportunity each year when they can have face-to-face interaction with senior management and directors. Yet their numbers are on the rise. That is why CII is writing large companies that are hosting online-only meetings and asking them to instead take a hybrid approach that gives shareholders the choice to participate either online or in-person.
 
 
Why Indexes Should Say “No” to Non-Voting Shares - April 10, 2017
In this podcast, CII Executive Director Ken Bertsch discusses the Council’s objections to public companies listing non-voting shares and the inclusion of no-vote shares in stock indexes. Bertsch welcomes the decisions by stock index providers FTSE Russell and S&P Dow Jones to open public consultations on whether non-voting share classes should be included in their indexes. Following Snap Inc.’s IPO with shares that give investors no vote at all, CII wrote to S&P Dow Jones, FTSE Russell and MSCI to formally request that each launch public consultations on the eligibility of common shares with disparate voting rights in their benchmark indexes (letters to both are here).
