As the Securities and Exchange Commission reviews the staff approval of a New York Stock Exchange rule change that would dramatically expand the use of direct listings by permitting new share issuances, a key question is whether the proposed expansion poses a heightened risk to investors in the form of lower legal protections from fraud and a degradation of corporate governance through the greater use of dual class stock structures.
