A new study co-authored by Dr. Tracie Woidtke of the University of Tennessee’s Haslam College of Business Administration finds that exempt solicitations allow shareholders to communicate effectively with investors and investment banks. The solicitations, which are increasingly being used by public pension funds, help the funds solicit shareholders’ votes on issues like majority voting, board independence, and vote-no campaigns without triggering costly proxy rules. Jeff Mahoney, CII’s General Counsel, moderated the webinar and Q&A for CII members with Dr. Woidtke.
