The new investment strategy referred to as “private credit” has experienced meteoric growth from a $400 million market in 2000 to a $1.5 trillion market in 2023. In an article forthcoming in the Yale Law Journal entitled “The Credit Markets Go Dark,” Jared A. Ellias, the Scott C. Collins Professor of Law at Harvard Law School, and Elisabeth de Fontenay, the Karl W. Leo Distinguished Professor of Law at Duke University, opine that the growth of private credit should be viewed as a sharp reversal in the democratization of debt that will transform corporate governance. The impact of private credit could lead to: (1) the entire capital structure of many U.S. companies—both equity and debt—being held almost exclusively by investment funds; and (2) information about U.S. companies, investors, and transactions becoming increasingly scarce. This webinar featured Professor de Fontenay who discussed the article and took questions from CII members. Jeff Mahoney, CII’s general counsel, moderated.
