On November 6, 2025, Tesla held its annual meeting in Austin, Texas. Fourteen proposals were subject to a shareholder vote including: approval of CEO Elon Musk’s trillion dollar performance award; the election of three directors, executive compensation (say-on-pay), a proposal to require a shareholder vote before adopting Texas Business Organizations Code (TBOC) provision limiting the submission of shareholder proposals; and a proposal requesting the repeal of a newly imposed ownership limit for derivative lawsuits permitted under a provision of the TBOC. This webinar will discuss those proposals, compare and contrast the TBOC with Delaware, and Nevada corporate law, and the impact on corporate governance and long-term shareholder value.
The webinar will feature, Carliss Chatman, Professor of Law at SMU Dedman School of Law, and Chris Babcock, Partner, in the Dallas, Texas office of Foley & Lardner LLP. Babcock who was closely involved in the drafting and recent passage of provisions amending the TBOC. The webinar will include a Q&A session and will be moderated by CII’s General Counsel Jeff Mahoney.
