Webinar: Does the Compensation-Actually-Paid Metric Influence Say-on-Pay Votes

In 2022, the SEC implemented requirements in the Dodd Frank Act related to pay-versus-performance. One such requirement is the calculation of compensation actually paid (CAP) to executives. After two years of implementation, commentators have shared their views on the complexity of the measure and the burden related to its calculations while others have questioned the extent to which CAP is influencing shareholders’ voting decisions, particularly those on say on pay.
 
CII's Legal Analyst Intern Leonardo Najarro, led a webinar with two of the authors of a paper entitled “Do Shareholders Vote against Executive Compensation When Pay Is Misaligned with Performance?”, Professor James Jianxin Gong of the California State University at Fullerton and Professor Nian Lim (Vic) Lee of California State Polytechnic University in Pomona. They discussed their findings that point to a link between CAP misalignment and higher shareholder votes against executives’ compensation.
