This week the SEC, under Acting Chair Mark Uyeda, issued a new staff legal bulletin outlining the commission’s current interpretations of no-action requests from companies, released guidance on when shareholders must submit 13D and 13G filings and asked for a pause in litigation challenging the SEC’s climate disclosure rule.

Attorneys General Target Costco for Defending Its DEI Program
Shortly after Costco shareholders--following the board’s recommendation--voted down a shareholder proposal asking the Costco to report on the financial risks of its diversity, equity and inclusion (DEI) program, 19 Republican attorneys general sent a letter calling on the company to repeal its DEI policies within 30 days or explain why it is not doing so.
