Dillard’s shareholders will vote August 19 on whether the company should reincorporate from Delaware to Texas, a state that recently passed legislation placing significant restrictions on shareholder rights.

By filing shareholder proposals, Tesla shareholders are trying to stave off restrictions on their rights that are now allowed under recent changes to Texas law. Tesla reincorporated from Delaware to Texas in June 2024 after Delaware Chancery Court Judge Kathaleen McCormick struck down CEO Elon Musk’s pay under the entire fairness standard.
