ISS is asking for feedback on a number of changes it is proposing to its benchmark voting policies. The proposed changes affect topics ranging from capital structures to executive compensation.
CII Raises Concerns about SEC’s Policy Statement on Mandatory Arbitration
CII sent a letter to SEC Chair Paul Atkins November 6 expressing serious concerns about a commission policy statement explaining that the SEC would no longer factor the presence of mandatory arbitration clauses in corporate governing documents when considering whether to accelerate companies’ registrations for initial public offerings. Previously, the SEC refused to accelerate registration statements with these clauses, which deterred companies from including them in their governing documents.
