Not Fiduciaries, Marc I. Steinberg, the Rupert and Lillian Radford Chair in Law and Professor of Law at the SMU Dedman School of Law, challenges a deeply ingrained principle in corporate governance: that corporate directors and officers are fiduciaries. Steinberg asserts that despite long-standing tradition and legal rhetoric, directors and officers are not held to true fiduciary standards in practice, and he emphasizes that it's time that the law caught up with this reality. J. Travis Laster, Vice Chancellor of the Delaware Court of Chancery says that “Professor Steinberg goes beneath the surface to look unflinchingly at how the law operates and makes a powerful case that the fiduciary headline doesn't match the story.” This webinar will explore Steinberg’s arguments, and will be hosted by James Crowe, CII's research manager.
