CII’s General Counsel Jeff Mahoney interviewed Washington and Lee University Law School Professor Sarah Haan on her recent article entitled Voting Rights in Corporate Governance: History and Political Economy. The article discusses the history of voting rights and practices under state law, including the principle of one-share, one-vote and the practice of proxy solicitation. Professor Haan argues that the history of how shareholder voting rights evolved over the past two hundred years sheds light on what happens when parallel sets of rules governing shareholder voting rights begin shifting in relation to each other. “Winners and losers will emerge, as power resolves itself through the shareholder franchise,” she predicts.
